Envoy AI Terms

These AI Terms (“AI Terms”) supplement and are incorporated into the Envoy Enterprise SaaS Agreement or other applicable agreement (“Agreement”) between your organization (“Customer”) and Envoy, Inc. (“Envoy”). All capitalized terms not defined in these AI Terms have the meanings given to them in the Agreement. In the event of a conflict between these AI Terms and the Agreement, these AI Terms will control solely with respect to your use of the AI Features.

Envoy AI Features. Envoy grants Customer a non-exclusive, revocable, non-transferable, limited right to access and use features and functionality of the Service made available to Customer that use artificial intelligence and/or machine learning (“AI Features”). "Input" means any information, text, prompts, or other data submitted by Customer or its Users to an AI Feature. "Output" means the content generated by or outputted from an AI Feature in response to AI Customer Input.

AI Limitations. Envoy’s AI Features use new technologies to generate predictions based on patterns in data. Customer acknowledges that these technologies may produce inaccurate or misleading content, and that outputs may not qualify for intellectual property protection. Customer is solely responsible for evaluating the accuracy and appropriateness of all Output, including via human review, before relying upon or distributing it. Envoy makes no warranty regarding the accuracy, completeness, or reliability of the Output and disclaims liability for Customer’s use of Output or any omissions or errors therein.

Ownership. As between Envoy and Customer, Customer owns all right, title, and interest in and to all Inputs and Outputs. Envoy hereby assigns any rights it may have in the AI Customer Output to Customer.

Third-Party AI Technology. Envoy partners with third parties that provide machine learning, foundation models, and artificial intelligence technologies (“Third-Party AI Partners”) to power the AI Features. Customer agrees to comply with all applicable Third-Party AI Partners’s terms and policies, available here and incorporated herein by reference.

No Model Training: Customer’s use of AI Features does not grant Envoy any right or license to use or share Customer Data in a manner that is inconsistent with the Agreement, unless otherwise agreed by Customer. This means that Envoy will not use or allow its Third Party AI Providers your Inputs or Outputs to train or improve third-party generative AI models. 

Customer Obligations. Customer and its Users shall not use the AI Features:
  • For Competing Models: To develop, train, or improve competing AI models, or to extract data, model weights, or underlying parameters.
  • Without AI Disclosure: To interact directly with consumers or individuals without clearly disclosing that they are interacting with an AI system.
  • For High-Risk Automated Decisions: To automate high-stakes decisions in sensitive areas (such as employment, housing, or essential services) without mandatory human review and oversight (a "human-in-the-loop").
  • For Professional Advice: To provide tailored advice that requires a license—such as legal, financial, or health advice—without involvement of a qualified, licensed professional.
  • For Prohibited Acts: To generate malicious code, bypass security controls, generate child sexual abuse material (CSAM), or engage in any fraudulent, deceptive, or illegal activity.
Exclusion from Envoy's IP Indemnity: Notwithstanding relevant sections of the Agreement (or any other provider indemnification obligations), Envoy’s obligation to defend and indemnify Customer against third-party intellectual property infringement claims will not apply to any claims arising from or relating to Customer’s Output, Input, or the training data used by Third-Party AI Technology.
