Envoy Beta Terms

These Envoy Beta Terms ("Beta Terms") are entered into by and between Envoy, Inc. ("Envoy") and your company ("Customer"), and supplements your company’s Enterprise SaaS Agreement ("Agreement") with Envoy.
  1. Beta Feature Description. Envoy may make certain beta features or functionality (each, a “Beta Feature”) available to Customer through the Envoy platform or Customer dashboard for evaluation and testing. Such Beta Features are provided on a limited, pre-release basis and may allow Customers to access, use, or interact with certain capabilities or data within the platform. Envoy retains full control over the design, configuration, operation, and availability of any Beta Feature and may modify, suspend, or discontinue a Beta Feature at any time.
  2. Beta Status; No Warranty. The  Beta Features are provided on a beta basis for testing and evaluation purposes only. Customer acknowledges that: (a) the Beta Features are experimental and may contain errors, bugs, or inaccuracies; (b) output quality, accuracy, and reliability are not guaranteed; (c) the Beta Features may be modified or discontinued at any time without notice; and (d) the Beta Features are provided "AS IS" without warranty of any kind, express or implied, and Envoy specifically disclaims all warranties regarding accuracy, completeness, or fitness for any particular purpose.
  3. Use Restrictions. Customer shall not use the Beta Features: (a) to process sensitive personal data, protected health information, or other regulated data except as permitted under the Agreement; (b) in violation of any applicable law; (c) to violate third-party intellectual property rights; or (d) for any mission-critical, safety-critical, or high-risk applications.
  4. Intellectual Property. All rights, title, and interest in and to the Envoy platform and any Beta Feature, including all related intellectual property rights, remain with Envoy. Customer retains all rights to Customer Data provided to or processed through the Beta Features, as set forth in the Agreement.
  5. Customer’s use of any Beta Feature does not grant Customer any ownership rights in the Features or the underlying software, technology, or materials.
  6. Compliance. Customer is solely responsible for ensuring that its use of any Beta Feature complies with applicable laws, regulations, and industry requirements. Any claims arising from Customer’s use of a Beta Feature—including claims related to violations of law, misuse of a Beta Feature, or breach of the Agreement or applicable use restrictions—will be governed by the Agreement’s indemnification provisions.
  7. Data Security. Any security incidents or data breaches related to Customer Data will be governed by the security and breach notification provisions of the Agreement. Customer acknowledges that Beta Features are provided on a pre-release basis and may not include all security, compliance, or operational controls available in generally available product features, and Customer assumes the risks associated with its use of any Beta Feature.
  8. Feedback. Customer agrees to provide reasonable feedback regarding any Beta Feature's functionality, accuracy, and user experience. Envoy may use such feedback without restriction or compensation to Customer.
  9. Termination. Either party may terminate Customer's access to some or all of the Beta Features at any time with or without cause upon written notice. Sections 4 (Liability Limitations), 5 (Intellectual Property), and 6 (Compliance & Indemnification) survive termination.
  10. General. These Beta Terms are governed by and incorporated into the Agreement. In the event of conflict between these Beta Terms and the  Agreement regarding the Beta Feature, these Beta Terms control. All other terms of the Agreement remain in full force and effect.
